1. Acceptance of Terms

By accessing or using In-Or-Out ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is operated by In-Or-Out ("we," "us," or "our").

2. Description of Service

In-Or-Out is a team organizing platform designed for recreational sports teams and groups. The Service allows team managers to create events, track RSVPs, manage rosters, and communicate with team members via web application, email, and SMS. The Service includes AI-powered features to help with team coordination.

3. Account Registration

To use certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and current information during registration.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Impersonate another person or misrepresent your affiliation
• Send spam, unsolicited messages, or abuse the notification system
• Attempt to access other users' accounts or data without authorization
• Interfere with or disrupt the Service or its infrastructure
• Upload malicious code or attempt to exploit vulnerabilities
• Use the Service to harass, abuse, or harm others

5. SMS Messaging Terms

By opting in to SMS notifications, you consent to receive text messages from In-Or-Out related to your team events and activities, including but not limited to:

• Event invitations and RSVP reminders
• Status update confirmations
• AI assistant responses when you interact with us via SMS

Message frequency varies based on your team's event schedule and your interactions. Message and data rates may apply.

You may opt out at any time by replying STOP to any message. For support, contact support@inorout.co. You may also manage your SMS preferences in your account settings.

Opting in to SMS is not a condition of purchasing any goods or services. SMS functionality is available as part of eligible subscription tiers.

6. Subscription Plans

The Service offers multiple plans with varying feature access. Free accounts have limited team sizes and features. Paid plans offer expanded capabilities including SMS notifications. Plan details are available in your account settings.

7. User Content

You retain ownership of content you submit (event details, messages, team information). By submitting content, you grant us a limited license to store, display, and transmit that content as necessary to operate the Service. Team managers are responsible for ensuring they have consent to add members' contact information.

8. AI-Powered Features

The Service includes AI-powered features to assist with team coordination. AI-generated responses may not always be accurate. You should verify important information independently. We are not liable for actions taken based on AI-generated content.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

12. Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms. You may delete your account at any time from your account settings. Upon termination, your right to use the Service ceases immediately.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in New York.

14. Dispute Resolution

In the event of a dispute, you agree to first attempt to resolve it informally by contacting us at support@inorout.co. If the dispute is not resolved within 30 days, either party may pursue binding arbitration administered under the rules of the American Arbitration Association. You retain the right to bring claims in small claims court if eligible. Nothing in this section prevents either party from seeking injunctive relief in court for matters requiring immediate attention.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms with a new effective date. Continued use of the Service after changes constitutes acceptance.
